Frances is an Associate in the Firm's Business Law group.
She advises clients on a broad range of legal, regulatory, and transactional matters in support of registered investment companies and related business lines, with experience spanning securities regulation, fund disclosures, commercial contracting, compliance oversight, and corporate governance. She regularly drafts, reviews, and negotiates a variety of complex agreements, including master service agreements, nondisclosure agreements, ISDA agreements, vendor contracts, and authorized participant arrangements.
Frances also advises on fund disclosure and regulatory matters, including prospectus and shareholder report updates, and is skilled at translating complex investment, derivatives, and risk concepts into clear, SEC-compliant disclosure language. She provides guidance on evolving regulatory frameworks, including SEC rules, ESG and climate disclosure requirements, emerging AI-related issues, and data privacy considerations.
Frances earned her J.D. from the University of Maryland Francis King Carey School of Law and an MBA from the Johns Hopkins Carey Business School.
