If you plan to change ownership of a licensed health care entity, here are some basic tips you should consider:

  1. Just as you cannot transfer your driver’s license to someone else, often health care entities cannot transfer their licenses to a buyer via an asset sale and not even via a stock sale.
  2. Sometimes the transfer is okay but only with prior notice of a set number of days to a regulator.
  3. Sometimes a new license has to be in the works, but need not be issued at closing.
