Jeff is a member in the Firm’s Tax, Real Estate and Business Law Practice Groups. He focuses his practice on advising clients in real estate and business transactions as well as tax planning strategies. Jeff advises, counsels and represents regional and national real estate companies in acquiring, financing, leasing and sales. He represents local and national lenders in commercial lending transactions. Jeff represents landlords and tenants in negotiating and drafting retail leases, including ground leases and major tenant leasing for shopping centers and other commercial developments. He provides counsel on business and real estate transactions; financing; private/preferred equity investments; leasing; growth planning; and analysis and planning for numerous federal income tax issues. In addition, Jeff guides and provides counsel to a wide range of entrepreneurial individuals, real estate developers and emerging businesses, assisting them throughout their growth in strategic planning, tax planning and deal structuring. Jeff has appealed many real estate property tax assessments for clients.

Jeff provides counsel to a wide variety of clients including national and local real estate developers, emerging businesses, venture capital funds, health care facilities, medical supply companies, banks and mortgage brokerage companies. Jeff has assisted and provided counsel to companies through successful acquisition and development processes.

Representative Matters

Represented real estate company in acquiring and repositioning $34 M shopping center in Pennsylvania from REIT.

Represented shopping center owners in refinancing shopping centers with regional banks and CMBS lenders

Represented national lenders in financing real estate transactions throughout the United States

Represented client in acquiring Ohio shopping center for $18 M using complex tenant-in-common structure

Advised an emerging company (with current annual sales in excess of $40 M) from its inception, including obtaining outside investors, formulating executive and employee compensation packages and providing general business guidance

Represented client in acquisition, leasing and sale of regional shopping center in Alabama

Assisted client in restructuring and refinancing portfolio of properties and assisted in minimizing tax implications

Represented buyer of 400,000 sq. ft. warehouse in Massachusetts

Represented client in acquiring vacant nursing home and converting it into student housing

Counsels regional real estate developers and owners regarding all aspects of acquisition, financing and leasing of regional shopping centers, multi-family properties, office buildings and warehouses

Advises various clients from small, local real estate owners to national REITs in structuring complex 1031 like-kind and reverse like-kind transactions

Provided counsel for the acquisition and leasing of a 2M square foot government-owned warehouse facility in Middle River, Maryland

Regularly advises clients on navigating federal, state and local tax issues

Assisted clients in acquiring and repositioning retail, office and industrial properties in Maryland, Pennsylvania, Virginia, Ohio and Alabama, including involvement in due diligence, financing and leasing matters

Represented clients in transactions involving the development and financing of multi-family properties containing thousands of units

Regularly advises and counsels various health care practices in all aspects of their business

Represented publicly traded and regional lenders in commercial loan transactions, including drafting loan documentation, title review and closing

Appealed real estate tax assessment of commercial real estate, lowering the assessment from $32 M to $20 M, and of a property from $11.9 M to $3.2 M

Represented regional real estate company in acquisition of a portfolio of distressed properties through purchase of notes and mortgages, and subsequent acquisition of underlying real estate
